OVERVIEW

Welcome to FaBene. The terms “we,” “us” and “our” refer to FaBene and Co LLC, doing business as FaBene - Organic Italian Food.

FaBene and Co LLC operates this store and website, including all related information, content, features, tools, products and services offered to customers (collectively, the “Services”). Our online store is powered by Shopify, which enables us to provide the Services.

These Terms of Service, together with the policies referenced in them, describe your rights and responsibilities when you use the Services.

Please read these Terms carefully. They include important information about your legal rights, warranty disclaimers and limitations of liability.

By agreeing to these Terms, you represent that you are at least the age of majority in your state or place of residence, or that you have consented to allow your minor dependents to use the Services on devices that you own or manage.

To browse our store or purchase products and services, you may be asked to provide information including your name, email address, billing information, payment information and shipping address.

You represent that all information you provide is accurate, current and complete and that you have the necessary right to provide it.

You are responsible for maintaining the security of your account credentials and for all activity conducted through your account. You may not sell, transfer, assign or license your account to another person.

SECTION 2 — OUR PRODUCTS AND SERVICES

We make reasonable efforts to accurately describe and display our products and services. However, colors, packaging and product appearance may vary from what is displayed on your screen because of differences in devices, displays, production batches and packaging updates.

Product photographs are provided for illustrative purposes. We do not guarantee that the appearance of a delivered product will be identical to the image displayed online.

Ingredient, allergen, certification, dietary and preparation information may vary by product. Customers are responsible for reviewing the individual product page and physical package before purchasing, preparing or consuming a product.

Products identified as certified organic are clearly designated on the applicable product page and package. Not every FaBene product is represented as certified organic.

FaBene produces products containing common allergens and products containing wheat. A “gluten-free” description does not constitute a guarantee that a product is suitable for every individual medical condition. Customers with allergies, celiac disease or other dietary requirements should review the product label and consult an appropriate healthcare professional when necessary.

All product descriptions may be changed at any time without notice. We reserve the right to modify or discontinue a product and to limit the quantity offered to any person, household, geographic region or jurisdiction.

Digital products and informational content are intended for general educational or meal-planning purposes. They are not medical advice and are not intended to diagnose, treat, cure or prevent any disease.

SECTION 3 — ORDERS

When you place an order, you are making an offer to purchase products or services from FaBene.

We reserve the right to accept, decline, limit or cancel an order for any lawful reason. An order is not accepted until payment has been authorized and we have confirmed acceptance.

Please review your order carefully before submitting it. We may be unable to accommodate changes or cancellations after an order has entered preparation, fulfillment or shipping.

If we decline, modify or cancel an order, we may attempt to notify you using the email address, billing address or telephone number provided during checkout.

Unless otherwise agreed in writing, retail purchases are intended for personal or household use and not for commercial resale or export.

Wholesale purchases may be subject to separate written terms, pricing and conditions.

SECTION 4 — PRICES, PAYMENT AND BILLING

Prices, discounts, promotions and product availability may change without notice.

The price charged will be the price displayed at the time the order is submitted, subject to correction of obvious errors. Unless expressly stated otherwise, displayed prices do not include applicable taxes, shipping or handling charges.

Prices offered online may differ from prices at farmers markets, retail partners, wholesale channels or third-party marketplaces.

You agree to provide current, complete and accurate billing, payment and account information.

You represent that you are authorized to use the payment method provided and that charges submitted through that payment method will be honored.

We reserve the right to correct pricing, description or availability errors. If an error affects an order that has already been placed, we may contact you to offer the choice of confirming the corrected order or receiving a cancellation and refund.

SECTION 5 — SHIPPING AND DELIVERY

Shipping options, charges and available destinations are displayed during checkout.

Frozen products are shipped in temperature-controlled packaging. Orders containing frozen products are generally shipped on selected weekdays to reduce the risk of weekend carrier delays.

All delivery dates and carrier transit times are estimates and are not guaranteed. Weather, holidays, carrier disruptions, address problems and other events outside our reasonable control may cause delays.

Customers are responsible for providing a complete and accurate delivery address and for retrieving delivered packages promptly.

Please inspect frozen-food orders promptly after delivery. If an order arrives damaged, significantly thawed, warm, incorrect or incomplete, contact us within 48 hours at info@fabene.us and include your order number and photographs.

Do not consume a product if you believe its safety has been compromised.

SECTION 6 — INTELLECTUAL PROPERTY

The Services, including our trademarks, brand names, slogans, text, photographs, product images, graphics, videos, audio, packaging designs, website design and other content, are owned by or licensed to FaBene and Co LLC and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial purposes only.

Except as expressly permitted by law, you may not reproduce, distribute, modify, republish, publicly display, publicly perform, download, store, sell or transmit our content without prior written permission.

Nothing in these Terms grants you ownership of or a license to use any trademark, copyright, patent or other intellectual property belonging to FaBene, Shopify or another party.

“FaBene,” associated logos, product names, designs and slogans are trademarks or other intellectual property of FaBene and Co LLC or its licensors. Shopify’s name, trademarks and intellectual property belong to Shopify or its licensors.

SECTION 7 — OPTIONAL THIRD-PARTY TOOLS

We may provide access to tools, applications or functionality operated by third parties.

We do not necessarily monitor or control these third-party tools. Access may be provided “as is” and “as available,” without warranties or endorsement.

Your use of optional third-party tools is at your own discretion and may be subject to the third party’s terms and privacy policies.

We may introduce additional tools, resources or features in the future. Unless otherwise stated, those additions will form part of the Services and will be subject to these Terms.

SECTION 8 — THIRD-PARTY LINKS AND SERVICES

The Services may contain links to websites, applications or content operated by third parties.

We are not responsible for evaluating or guaranteeing the accuracy, security, products, services, practices or content of third-party websites.

If you access a third-party website or purchase a third-party product or service, you do so at your own discretion. Review the applicable third party’s terms, policies and practices before completing a transaction.

Questions or claims concerning a third-party product or service should be directed to that third party.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

FaBene’s online store is powered by Shopify, which provides the e-commerce platform used to offer the Services.

Purchases made through our store are transactions directly between you and FaBene and Co LLC. Shopify is not the seller of FaBene products and is not responsible for the products, fulfillment, shipping or customer service associated with those purchases.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising solely from transactions between you and FaBene.

If you voluntarily submit reviews, comments, suggestions, ideas, photographs or other feedback concerning FaBene or the Services, you grant us a worldwide, perpetual, transferable, sublicensable and royalty-free license to use, reproduce, modify, publish, distribute and display that feedback for lawful business purposes.

You represent that you own or have permission to submit the content and that it does not violate another person’s intellectual property, privacy, publicity or other legal rights.

You must disclose any compensation or incentive received in connection with a review or submission when required by law.

We have no obligation to keep unsolicited feedback confidential, compensate you for it or respond to it.

We may remove submissions that we reasonably believe are unlawful, abusive, threatening, misleading, obscene, defamatory, infringing or otherwise inappropriate.

You may not use a false identity or email address or misrepresent the origin of a submission.

SECTION 12 — ERRORS, INACCURACIES AND OMISSIONS

Information on the Services may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, ingredients, pricing, promotions, shipping charges, delivery times or availability.

We reserve the right to correct errors, update information or cancel an affected order, including after an order has been submitted.

If we cancel an order because of an error, we will refund amounts paid for the cancelled portion of the order.

SECTION 13 — PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services to:

  • violate applicable laws or regulations;

  • infringe intellectual property, privacy or other legal rights;

  • harass, abuse, threaten, defame or harm another person;

  • submit false, fraudulent or misleading information;

  • distribute spam, phishing communications or unauthorized advertising;

  • impersonate another person or entity;

  • upload viruses, malicious code or harmful technology;

  • collect personal information without authorization;

  • interfere with the operation or security of the Services;

  • bypass access restrictions or security measures;

  • scrape or extract data in violation of applicable law or these Terms;

  • reproduce, resell or commercially exploit the Services without written permission; or

  • engage in conduct that could damage FaBene, Shopify, our customers or another party.

We may suspend or terminate access to the Services when we reasonably believe these Terms have been violated.

SECTION 14 — TERMINATION

We may suspend or terminate your access to some or all of the Services if you violate these Terms, misuse the Services or create legal or security risks.

You may stop using the Services at any time.

Termination does not eliminate payment obligations or liabilities incurred before termination.

Sections that by their nature should continue after termination—including intellectual property, disclaimers, limitations of liability, indemnification and governing law—will remain effective.

SECTION 15 — DISCLAIMER OF WARRANTIES

Information presented through the Services is provided for general informational purposes. We do not warrant that all information will always be complete, current or error-free.

To the fullest extent permitted by applicable law, the Services and products are provided “as is” and “as available,” except for warranties or rights that cannot legally be excluded.

We do not guarantee that access to the Services will be uninterrupted, timely, secure or error-free.

To the fullest extent permitted by applicable law, FaBene and Co LLC and its owners, officers, employees, affiliates, contractors, service providers and licensors will not be liable for indirect, incidental, special, punitive or consequential damages arising from your use of the Services or products.

This includes, without limitation, loss of profits, revenue, savings, data or replacement costs, whether the claim is based on contract, negligence, strict liability or another legal theory.

These limitations do not apply to liability that cannot legally be excluded or limited.

Some states or jurisdictions do not permit certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

SECTION 17 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless FaBene and Co LLC, Shopify and their respective affiliates, officers, employees, agents, contractors, licensors and service providers from third-party claims, liabilities, damages and reasonable costs arising from:

  • your material violation of these Terms;

  • your unlawful use of the Services;

  • your violation of another party’s rights; or

  • content that you submit through the Services.

We will provide reasonable notice of an indemnifiable claim. You agree to cooperate with the defense of that claim.

SECTION 18 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed when necessary.

The remaining provisions will continue in effect.

SECTION 19 — WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

These Terms, together with the policies and notices incorporated by reference, constitute the entire agreement between you and FaBene concerning your use of the Services.

They supersede prior communications or agreements concerning the same subject matter.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale of assets, corporate reorganization or other lawful business transaction.

These Terms and any separate agreements through which we provide the Services are governed by the laws applicable in the jurisdiction where FaBene and Co LLC is headquartered, without regard to conflict-of-law principles.

You and FaBene consent to the jurisdiction of the applicable state and federal courts located in that jurisdiction, except where applicable consumer law provides otherwise.

Changes become effective on the date stated in the updated Terms. Continued use of the Services after the effective date constitutes acceptance of the revised Terms, except where applicable law requires additional consent.
